Terms of sale

The standard terms for quotes and orders: price and quote validity, payment and net 30, the sales-tax stance, delivery, returns, warranty, export control and governing law.

Effective 8 November 2026 Applies to: Big Sky Dynamics LLC

How these terms apply

These are the standard terms for quotes and orders from Big Sky Dynamics LLC. They are a summary: the terms printed on your order acknowledgment and invoice govern the order, and if those documents and this page differ, the order documents win.

If you need a signed master agreement, purchase-order terms reviewed, or a security or compliance schedule attached, tell us before the order is placed. We will either agree the terms in writing or tell you we cannot accept them.

Quotes and pricing

A quote is an invitation to order, not an offer. We accept an order only when we issue a written order acknowledgment.

  • Quotes are valid for 30 days from the quote date unless the quote states a different period.
  • Prices are in U.S. dollars. Unless a quote states otherwise they exclude sales tax, freight, duties and insurance.
  • Hardware prices follow distributor cost and can move. If cost or availability changes before you accept the quote, we will tell you and reissue it rather than silently change the order.
  • Stock and lead time are confirmed in writing on the quote. We do not print a guaranteed delivery date for hardware we do not hold.
  • Obvious pricing or description errors do not bind us; we will correct the quote with you before an order proceeds.

Orders and acceptance

Send a purchase order or accept the quote in writing. We accept the order by issuing an order acknowledgment with the price, quantity, delivery details and any special terms.

We may decline an order where the part is unavailable, the configuration cannot be sourced honestly, the destination or end use is restricted (see export control), or we cannot complete required checks. If you need to change an order after acceptance, we will tell you whether the supplier or carrier can still change it and what it costs.

Payment and net terms

We collect by ACH or wire against a numbered invoice. Card payments are not offered on this site.

  • Net 30 is available to credit-approved business accounts. Apply through the credit application; Net 60 is considered case by case.
  • Until terms are approved, orders are prepaid by ACH or wire. Larger first orders may require prepayment even where terms are being considered.
  • Invoice payment instructions are printed on each invoice. Bank details are released only to a verified buyer contact after a callback; a change of bank details requires a signed form and a phone callback.
  • If an invoice becomes overdue we may pause new orders and releases until it is resolved.

See how to pay for the full payment process.

Sales tax

i
Tax stance: Sales tax is not charged online; tax is added where applicable based on the ship-to address and the buyer's exemption status. Resale buyers should send a current resale certificate with the first order so tax is not charged.

Delivery and risk

Freight is quoted per order and shown on the invoice. Delivery is complete when the carrier delivers to the address on the order. Inspect the shipment before signing and follow the damage and shortage steps in the shipping policy.

Title and risk of loss pass to you on delivery to the address on the order, or to your nominated freight forwarder where one is used. Keep the packaging until any claim is settled.

Returns and warranty

Qualifying equipment can be returned within 30 days of delivery, subject to a 15% restocking fee on non-defective returns. See the returns policy for what qualifies and how to start an RMA.

Hardware carries the manufacturer's warranty and passes through to you. Work we perform ourselves carries a 90-day workmanship warranty. See the warranty policy.

Export control

U.S. export laws apply to the hardware we sell. You agree not to export, re-export or transfer our products contrary to those laws, and we may ask for destination, end-use or end-user information before releasing an order. See the export control policy.

Liability

To the extent the law allows, our liability for a product or service is limited to the price you paid for that product or service, and we are not liable for indirect or consequential losses such as lost profit, lost data or project delay. Nothing in these terms limits liability that cannot be limited by law, including for death or personal injury caused by negligence, or for fraud.

Manufacturer warranties are provided by the manufacturer, not by us. Our workmanship warranty is described in the warranty policy.

Governing law

These terms are governed by the laws of the Commonwealth of Kentucky, United States, without regard to conflict-of-law rules. The state and federal courts located in Jefferson County, Kentucky have jurisdiction over disputes, unless a signed agreement between us says otherwise.
